Terms of Service

These Terms explain your rights and responsibilities when using Duwiz.
1. Acceptance of Terms
- • By creating an account, accessing, or using Duwiz, you agree to be bound by these Terms of Service. If you do not agree to all of these Terms, you must not access or use the platform.
- • These Terms constitute a legally binding agreement between you and Duwiz and apply to all users, including creators, brands, administrators, and visitors.
2. Platform Overview
- • Duwiz is an online marketplace that connects brands with creators for influencer marketing campaigns, including campaign creation, creator discovery, proposals, negotiation, messaging, activity tracking, and content collaboration.
- • Duwiz acts solely as an intermediary platform. We facilitate connections and provide tools for collaboration but are not a party to any agreements formed between brands and creators.
- • We may update, improve, modify, or discontinue features, services, or content at any time to maintain platform quality, security, performance, and legal compliance.
3. Eligibility and Accounts
- • You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and enter into binding agreements.
- • You must provide truthful, accurate, current, and complete information during registration and onboarding and maintain such information throughout your use of the platform.
- • Each individual may maintain only one account unless explicitly authorized by Duwiz.
- • You are solely responsible for all activity occurring under your account, including maintaining the confidentiality of your login credentials.
- • You must notify Duwiz immediately of any unauthorized use of your account or any other security breach.
- • We reserve the right to suspend or terminate accounts that contain false information, involve fraudulent activity, abuse platform functionality, or violate these Terms.
4. Creator Obligations
- • Creators must accurately represent their audience metrics, social media handles, follower counts, engagement rates, portfolio items, and rate cards.
- • Creators must deliver agreed-upon campaign activities, meet deadlines, and submit valid proof of completion where required.
- • Creators must not engage in fake engagement, inflated metrics, misleading portfolio representations, or undisclosed conflicts of interest.
- • Creators are responsible for complying with all applicable advertising disclosure requirements (including FTC endorsement guidelines) when posting sponsored content.
5. Brand Obligations
- • Brands must provide clear, accurate campaign specifications including scope, budgets, deliverables, timelines, and requirements.
- • Brands are responsible for ensuring their campaigns comply with all applicable advertising, consumer protection, and intellectual property laws.
- • Brands may not misuse creator data obtained through the platform for purposes outside the agreed campaign scope.
- • Brands may not request creators to produce, promote, or distribute illegal, defamatory, obscene, or otherwise prohibited content.
6. Campaigns, Proposals, and Deliverables
- • Campaign visibility, invitations, deliverables, activities, timelines, and budgets are governed by the campaign configuration set by the brand.
- • An accepted proposal constitutes a binding platform record of the agreed work scope between the brand and creator.
- • Both parties should use platform messaging and negotiation tools for transparency, documentation, and potential dispute resolution.
- • Duwiz does not guarantee the quality, timeliness, or completion of any deliverables and is not responsible for disputes arising from campaign collaborations.
7. User Communication and Conduct
- • All users must communicate professionally via platform messaging. Harassment, abuse, threats, discrimination, or deceptive practices are strictly prohibited.
- • Users may utilize platform tools to block other users and prevent unwanted communication.
- • Duwiz reserves the right to review, moderate, or remove messages and content reported for policy violations, abuse, or illegal activity.
- • Users must not use the platform to distribute spam, malware, phishing attempts, or unsolicited commercial communications.
8. Subscriptions, Billing, and Payment Processing
- • Duwiz offers subscription plans for brands that unlock premium features such as advanced creator discovery, rate card access, and campaign management tools.
- • Subscription payments are securely processed by our third-party payment provider, Creem (creem.io). By subscribing, you also agree to Creem's terms of service and privacy policy.
- • Duwiz does not directly store, process, or have access to your full payment card details. All payment data is handled exclusively by Creem in compliance with applicable payment security standards.
- • Subscription plans may be offered on a monthly or annual billing cycle and may include trial periods. Upon expiration of any trial, your selected payment method will be charged unless you cancel before the trial ends.
- • Refunds, cancellations, and billing disputes related to subscriptions are subject to the applicable subscription terms and Creem's policies. You may manage your subscription from your account dashboard.
9. Creator-Brand Payments
- • Duwiz is not a party to any payment agreements between brands and creators for campaign deliverables. All compensation for creator work must be arranged, agreed upon, and settled directly between the brand and the creator outside the platform.
- • Duwiz is not responsible or liable for unpaid invoices, late payments, refunds, chargebacks, or any financial disputes arising between users.
- • Users are solely responsible for their own tax obligations, financial reporting, invoicing, and compliance with applicable tax laws in their respective jurisdictions.
10. Acceptable Use
- • You may not use Duwiz for any purpose that is illegal, fraudulent, abusive, harassing, infringing, discriminatory, or deceptive.
- • You may not scrape, crawl, reverse engineer, decompile, disassemble, or attempt unauthorized access to any part of the platform, its systems, or other users' data.
- • You may not interfere with or disrupt the platform's infrastructure, servers, networks, or security features.
- • Automated access must respect platform integrity, rate limits, and applicable law.
11. Intellectual Property
- • Each user retains ownership of their original content, uploaded assets, creative works, and brand materials unless they separately agree otherwise within a campaign or proposal.
- • By uploading or posting content on the platform, you grant Duwiz a non-exclusive, worldwide, royalty-free, and limited license to host, display, reproduce, and distribute such content solely as necessary to operate and improve the platform's services.
- • All Duwiz branding, logos, trademarks, platform design, and proprietary features are the exclusive property of Duwiz and may not be used without prior written permission.
12. Compliance and Disclosures
- • Users must comply with all applicable laws, regulations, and industry guidelines, including advertising standards, consumer protection laws, data protection regulations, and platform-specific rules.
- • Content creators must properly disclose sponsored content, paid partnerships, and material connections in accordance with FTC guidelines and equivalent regulations in their jurisdiction.
- • Users are solely responsible for legal compliance in their respective jurisdictions.
13. Termination
- • You may stop using the platform and request account deletion at any time.
- • Duwiz may suspend or terminate your access immediately, with or without notice, for violations of these Terms, applicable law, security concerns, or platform misuse.
- • Termination does not extinguish any obligations (including payment, delivery, or contractual commitments) that accrued between users before termination.
- • Upon termination, your right to access the platform ceases, but provisions of these Terms that by their nature should survive will continue to apply (including Sections 11, 13, 14, 15, 16, and 17).
14. Disclaimers
- • The platform and all services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law.
- • Duwiz makes no warranties regarding the accuracy, reliability, completeness, or timeliness of any content, user profiles, campaign outcomes, or platform availability.
- • Duwiz does not endorse, guarantee, or verify the identity, qualifications, or representations of any user on the platform.
15. Limitation of Liability
- • To the maximum extent permitted by law, Duwiz and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform.
- • Duwiz is not liable for user-generated content, unfulfilled proposals, missed payments between users, campaign failures, or any actions or omissions of other users.
- • Our total aggregate liability for any claims arising from or related to the platform is limited to the amount you paid directly to Duwiz (if any) in the twelve (12) months immediately preceding the event giving rise to the claim.
16. Indemnification
- • You agree to indemnify, defend, and hold harmless Duwiz, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit, post, or transmit through the platform.
17. Governing Law and Dispute Resolution
- • These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
- • Any dispute arising out of or relating to these Terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation between the parties.
- • If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the competent courts of the jurisdiction in which Duwiz operates.
- • You agree that any claim or cause of action arising from these Terms or use of the platform must be filed within one (1) year after the claim arose, or it shall be permanently barred.
18. Severability
- • If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
19. Changes to Terms
- • We reserve the right to modify these Terms at any time to reflect legal, regulatory, technical, or business changes.
- • Material updates will be communicated with reasonable notice and posted with an updated effective date on this page.
- • Your continued use of the platform after the effective date of any updates constitutes your acceptance of the revised Terms. If you disagree with any changes, you must discontinue use of the platform.
